Trade Show Contract Terms
- In order to validate this contract and reserve our booth(s): We are making a payment for at least one half of the total cost of booth space to be used as a deposit which will be applied to the total rental cost. Our reservation will take effect immediately.
- We agree that the space assigned shall be accepted unless we reject it within 10 days of your notice.
- We agree to pay the balance of the total rental cost prior June 1, 2010. If the balance of the rental cost is not paid by the due date, the space will be assigned to someone else and all deposits will be forfeited.
- We understand that each booth will include a six (6) ft. draped table, two (2) chairs, wastebasket, full carpet, sign of our company name and a 110 electrical outlet. (See Item #4 below)
- Listed below are the products we propose to exhibit.
- We have read, agree, and will abide by the contract provisions on this document . During the Show, please remember to charge Florida Sales Tax!
Contract Provisions
Space Assignments:
1. The Trade Show (Exhibition) Manager will assign space in the order received.
2. The Trade Show Manager reserves the right to shift space assignment after the contract has been signed if he finds it necessary to do so. Space is leased with the understanding that the Exhibitor will hold the Trade Show Manager, Florida Professional Photographer Inc., and its sponsors harmless from any or all liability that may result from any cause at all.
Payment and Cancellations:
3. In applying for space, the Exhibitor will pay one-half of the cost of the space as herein provided. If the balance of the rental cost is not paid by the due date, the space will be assigned to someone else and all deposits will be forfeited. If the Exhibitor has any overdue balances to the FPP, including, but not limited to, advertising in the Florida Photographer Magazine or Sponsorship of any FPP events, the FPP reserves the rights to apply Trade Show deposits to those balances and the Exhibitor forfeits the right to participate in the Trade Show. Upon cancellation by the Exhibitor at any time, the Trade Show Manager shall have the right to rent the space to anyone else without obligation to return the amount already paid, and the right to retain such amount as liquidated damages.
Booths and Equipment:
4. The booth space will include uniform back booth dividers and an identification sign consisting of firm name. A six-foot draped table, two chairs, one wastebasket, full carpeting, and one 110 electric outlet will be furnished in each booth at no additional charge. Additional electricity may be purchased.
Use of Booths:
5. All demonstrations and exhibits must be confined within the exhibit booth. No Exhibitor shall assign, sublet, or share the whole or any part of the booth space allotted without written permission of the Trade Show Manager.
Objectionable Material and Activities:
6. The Trade Show Manager reserves the right to request modification of any exhibit or curtail any undesirable activity. No obstruction higher than (35”) thirty-five
inches may be placed in the front half of the booth or in any such way as it may obstruct an adjoining booth.
Handling and Storage:
7. See Shipping and Drayage Sheet in Exhibitor’s Packet (to be mailed separate). DO NOT SHIP TO THE HOTEL.
Liabilities:
8. The Exhibitor agrees that the FPP and/or the Trade Show Manager will, (a) not be responsible for any damage to, or for the loss or destruction of the Exhibitor’s property or injuries to the Exhibitor, his representatives, agents or employees. All claims for any such loss, damage, destruction, or injury being expressly waived by the Exhibitors; (b) be exempted from or indemnified for any such claims for injury to any of the Exhibitor’s representatives, agents, or employees.
9. FPP Convention, its agents and employees, will not be liable for failure to hold the Trade Show as scheduled. Payments for booth space will be returned in that event, except for any actual expense incurred in connection with the Exhibition. Actual expense will be deducted if the Trade Show is called off within ninety days prior the scheduled time due to the following: (1) Acts of God, (2) fire, (3) the public enemy, (4) a strike, (5) an epidemic, (6) any law or regulation of public authority that makes it impossible or impractical to hold the Exhibition.
Admission:
10. The Trade Show Manager will have control over all admissions of persons. All persons visiting the exhibit area will be admitted according to the rules and regulations of the Exhibits as issued or amended by the authorized representatives of the FPP Trade Show and Convention Committee.
Rules and Regulations:
11. Exhibitors will abide by all other provisions of the said rules and regulations and with fire regulations and all regulations of government agencies and the exhibit site.
12. No exhibitor shall commence dismantling or packing booth(s) and/or products prior to the scheduled closing of the show at 4 PM. Due to the Monday Night Party, all exhibits must be totally dismantled and the hall cleared by 7 PM on Monday. This is a requirement of the Rosen Plaza Hotel and your cooperation is appreciated.
